LabKick Corporation — Supplier Code of Conduct

Effective Date: August 18, 2025

Applies To: All suppliers, subcontractors, distributors, agents, and service providers ("Suppliers") that do business with LabKick Corporation ("LabKick").


1) Purpose & Scope

This Code sets minimum expectations for ethics, labor, health & safety, environment, product quality, data protection, and trade compliance. Suppliers must flow these requirements to their own suppliers.

2) Legal & Ethical Compliance

  • Comply with all applicable laws and regulations where business is conducted.
  • Maintain accurate books/records; prohibit falsification or misrepresentation.
  • Compete fairly; no price‑fixing, market allocation, or bid‑rigging.
  • Disclose conflicts of interest relevant to LabKick engagements.
  • Gifts, hospitality, and entertainment must be modest, infrequent, and never to obtain improper advantage.
  • Anti‑corruption: Zero tolerance for bribery, kickbacks, extortion, or facilitation payments.

3) Human Rights & Labor

  • No forced, bonded, trafficked, or prison labor.
  • No child labor; minimum age per ILO standards and local law.
  • Non‑discrimination and equal opportunity.
  • Humane treatment; no harassment, abuse, or coercion.
  • Wages & benefits meeting or exceeding legal minimums; clear pay statements.
  • Working hours and rest days compliant with law.
  • Freedom of association and collective bargaining respected where lawful.

4) Health, Safety & Industrial Hygiene

  • Provide a safe and healthy workplace; implement hazard identification, risk controls, and incident reporting.
  • Train workers on job‑specific risks, PPE, emergency response, and chemical handling (SDS available).
  • Maintain safe housing/transport where provided.

5) Environmental Responsibility

  • Comply with environmental laws (emissions, wastewater, waste, hazardous substances).
  • Minimize pollution, waste, and resource use; track relevant ESG metrics.
  • Ensure materials compliance (e.g., RoHS/REACH, applicable PFAS and conflict‑minerals rules).
  • Manage chemicals safely; label and dispose of hazardous waste responsibly.
  • Cooperate with LabKick sustainability and take‑back programs where applicable.

6) Product Quality & Safety

  • Meet LabKick specifications, applicable standards, and regulatory requirements.
  • Maintain quality management systems appropriate to the product (e.g., ISO 9001, ISO 13485 where required).
  • Ensure traceability (lots/serials), change control, calibration, and complaint/recall support.

7) Information Security & Privacy

  • Protect LabKick confidential information and personal data with administrative, technical, and physical safeguards.
  • Implement reasonable cybersecurity controls, vulnerability management, and incident response; notify LabKick promptly of breaches affecting LabKick data.
  • Use personal data only for permitted purposes and in compliance with applicable privacy laws.

8) Trade Compliance

  • Adhere to export controls, sanctions, and customs laws (e.g., EAR/ITAR/OFAC); screen parties and restrict prohibited end‑uses (WMD, military end‑use when restricted).
  • Provide accurate origin, classification, and valuation data; cooperate on supply‑chain security (e.g., CTPAT).

9) Management Systems

  • Establish policies, training, and accountability for this Code.
  • Monitor compliance, perform self‑assessments, and implement corrective/preventive actions (CAPA).
  • Maintain channels to report concerns without retaliation.

10) Subcontracting & Responsible Sourcing

  • Do not subcontract LabKick work without prior written consent.
  • Conduct due diligence on upstream suppliers; remove suppliers that violate this Code.
  • Provide conflict‑minerals and other regulatory declarations upon request.

11) Audits & Documentation

  • Upon reasonable notice, permit on‑site or remote assessments by LabKick or its designee and provide requested documentation.
  • Promptly address findings with time‑bound CAPA.

12) Reporting Concerns (Non‑Retaliation)

  • Report suspected violations to ethics@labkick.com.
  • Retaliation against whistleblowers is prohibited and grounds for termination of business.

13) Consequences of Non‑Compliance

LabKick may suspend work, withhold awards, or terminate the relationship, and may seek restitution where permitted by law.
